Vendor’ Obligations

1. General

On the Completion Date the Vendor shall in accordance with Clause 6, deliver or make available to the Purchaser the following (if not previously provided):

1.1 satisfactory evidence of the due fulfillment of the conditions specified in Clause 4.1;

1.2 a certificate signed by the Vendor confirming that all the Vendor’ Warranties have been complied with and will be correct in all respects as if repeated on the Completion Date by reference to the circumstances then existing and that all the representations, warranties and undertakings on the part of the Vendor have been fully performed and observed by the Vendor;

1.3 a certified copy of the board resolution of the Vendor authorizing and approving the execution and performance of this Agreement, the applicable Transaction Agreements and related documents, and the designation of the signatories herefore; and

1.4 each of the Transaction Agreements duly executed by or on behalf of the Vendor and other parties (other than the Purchaser).

2. Documents from the Company

On Completion, the Vendor and or the Warrantor shall in accordance with Clause 6, deliver or make available to the Purchaser the following (if not previously provided):

2.1 a certified copy of the board resolution of the Warrantor authorizing and approving the execution and performance of this Agreement, the applicable Transaction Agreements and related documents, and the designation of the signatories herefore;

2.2 a certificate signed by the Warrantor confirming that all the Warrantor’s Warranties have been complied with and will be correct in all respects as if repeated on the Completion Date by reference to the circumstances then existing and that all the representations, warranties and undertakings on the part of the Warrantor have been fully performed and observed by the Warrantor;

2.3 share certificate(s) representing the Sale Shares duly registered to the Purchaser or as it may direct; and

2.4 confirmation of the entry of the name of the Purchaser (or as it may direct) in the register of shareholders of the Company in respect of the Sale Shares.
